Hazer Group Ltd (“Hazer” or “The Company”) (ASX:HZR) We have signed a binding alliance agreement (“Alliance”) with Kellogg Brown and Root LLC (NYSE: KBR, “KBR”) and announced that we are a global leader in technology and engineering solutions.

KBR – Global Leader in Technology Licensing

KBR is a world-renowned engineering and technology company that provides engineering and cutting-edge technology licensing solutions to businesses and governments, beyond energy, chemicals, infrastructure and defense. KBR has approved more than 260 grassroots ammonia plants since 1943. Over 50% of the world’s ammonia is produced using KBR’s ammonia process.

KBR also brings a strong track record in commercializing groundbreaking industrial technologies. Notable partnerships include ExxonMobil for next-generation catalyst development, and MURA technology (including a strategic investment of USD 100 million) to expand proprietary plastic recycling solutions around the world.

Under the Alliance, KBR will be Hazer’s exclusive global partner in marketing, licensing and deployment of Hazer technology to customers in the Ammonia and Methanol marketplace. KBR and Hazer work closely to pursue licensing opportunities for decarbonisation of the hydrogen market beyond these exclusive markets.

A strategic alliance for commercializing Hazer’s major methane pyrolysis technology.

Under the alliance, Hazer and KBR will work together on upscaling, marketing and licensing of Hazer Technology for commercial deployment.

Under the terms of the agreement, KBR will be the exclusive license partner of Hazer in the Ammonia and Methanol markets, working closely in other hydrogen sectors. The first period of the alliance is six years, with options to accommodate performance metrics achievement. The parties agree to develop design packages for the Hazer facility targeting over 50,000 hydrogen capacity per year, as well as collaborating on the global sales, marketing and licensing of Hazer technology. Hazer will become KBR’s exclusive methane pyrolysis technology provider.

The total cost of the Alliance Work program is expected to range from $3.0 to $5.0 million, of which KBR will donate approximately $3.0 million during the duration of the work program. The alliance is supported by performance goals with the goal of ensuring opportunities for multiple corporate licensing during the early semester.

Regarding royalty and licensing fee sharing, we will continue to provide information to the market as licensing arrangements are signed. Hazer’s existing portfolio and opportunity pipeline are not subject to the terms of the alliance. The incentive structure applies if KBR secures a license for the first commercial unit protected within three years. There is no economic impact at this stage as the client contract is not in place.

In other words, if the license performance metrics are not met, the agreement can be terminated. Hazer holds full ownership of existing intellectual property. Otherwise, the contract includes customary terms for this type of arrangement.
